WHAT IS THIS ABOUT:<\/strong> On July 1, 2021, Schwab disclosed that the Company had been \u201cresponding to an investigation by the U.S. Securities and Exchange Commission (SEC) arising from a compliance examination.\u201d The investigation primarily concerned \u201chistoric disclosures related to the Schwab Intelligent Portfolios\u00ae (SIP) digital advisory solution.\u201d Schwab further disclosed its \u201csecond quarter 2021 financial results will include a liability and related non-deductible charge of $200 million.\u201d<\/p>\n

Then on June 13, 2022, the SEC announced that it \u201ccharged three Charles Schwab investment adviser subsidiaries\u201d who \u201cagreed to pay $187 million to harmed clients to settle the charges.\u201d The SEC charged Schwab with misleading investors that used its robo-adviser product, Schwab Intelligent Portfolios. Instead of the touted \u201cdisciplined portfolio construction methodology\u201d that sought \u201coptimal return[s]\u201d, Schwab\u2019s \u201cown data showed that under most market conditions, the cash in the portfolios would cause clients to make less money even while taking on the same amount of risk.\u201d<\/p>\n

On this news, Schwab\u2019s share price dropped $1.98 per share, or approximately 3%, to close on June 13, 2022 at $60.24.<\/p>\n
